§1 General Provisions
These Terms of Service ("Terms") apply to your access and use of the online file storage and sharing service ("Service") provided by UP4LOAD SOLUTIONS LTD, a limited company registered and the operator of UP4LOAD.COM. The Terms do not alter any other agreement you may have with UP4LOAD.COM for the Service. If you use the Service on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity, and the entity agrees to indemnify you and UP4LOAD.COM for violations of these Terms.
We reserve the right to change or modify these Terms or any policy of the Service at any time in our sole discretion. Changes are effective immediately upon posting on https://up4load.com ("Site"). Your continued use of the Service after such changes confirms your acceptance. You should frequently review these Terms and applicable policies. If you do not agree with the amended Terms, you must stop using the Service.

§2 Customer Data and the Service
The data, information, files, and other content you provide to UP4LOAD.COM when using the Service ("Customer Data") must comply with these Terms. UP4LOAD.COM is a cloud service offering file storage, sharing, and a Pay Per Download (PPD) program, providing users with access to their data from any location and secure backups. We offer premium subscription services; review subscription details on the Site for comparisons.

§3 Privacy Policy
Refer to our Privacy Policy on https://up4load.com for details on how we collect, use, and disclose personally identifiable information from users.

§4 Registration Data
You agree to:

• Provide accurate, current, and complete information during signup, login, or registration ("Registration Data").
• Maintain and update Registration Data to keep it accurate, current, and complete.
• Accept all risks of unauthorized access to Registration Data or any other information provided to UP4LOAD.COM.

§5 Grants and Restrictions
Subject to these Terms, UP4LOAD.COM grants you a non-exclusive, non-transferable, and revocable right to access and use the Service. You may not, nor allow any third party to:

• Disclose performance information or analysis related to the Service.
• Use data mining, robots, or similar data extraction methods on the Site or Service.
• Download any portion of the Site beyond page caching.
• Use the Site or Service for purposes other than intended.

§6 Ownership
UP4LOAD.COM owns all rights, title, and interest in:

• The Service.
• Any work product developed from the Service.
• All Intellectual Property Rights (patents, copyrights, trademarks, trade secrets, and other rights recognized in any jurisdiction).

You retain ownership of Customer Data but grant UP4LOAD.COM a worldwide, royalty-free license to host, store, and distribute it as necessary to provide the Service.

§7 Obligations
You must:

• Use reasonable security precautions when accessing the Service.
• Comply with all applicable federal, national, state, and local laws, regulations, and rules ("Laws").
• Cooperate with UP4LOAD.COM's investigation of outages, security issues, or suspected breaches of these Terms.

You represent and warrant that:

• Customer Data is your property or you have obtained necessary consents to upload and share it.
• Your privacy practices comply with applicable Laws.
• You have all required permissions to transfer Customer Data to UP4LOAD.COM for storage.

UP4LOAD.COM is not responsible for unauthorized access to Customer Data or unauthorized use of the Service. You are responsible for use of the Service by your employees, anyone you grant access to, or anyone who gains access due to your failure to use reasonable security precautions. UP4LOAD.COM may disclose Customer Data as required by Laws or in response to legal processes.

§8 Prohibited Content and Activities
You may not upload, share, or distribute Customer Data that:

• Is libelous, defamatory, obscene, pornographic, violent, or otherwise objectionable.
• Contains child sexual abuse material, rape/violence, bestiality, scat, coprophilia, snuff, or sex with a person in a helpless state (e.g., drugged, sleeping, hypnotized).
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights.
• Is illegal or encourages criminal activity.
• Contains viruses, corrupted data, or harmful code.

You may not:

• Use the Service to disrupt, damage, or impair its functionality.
• Engage in fraudulent or illegal activities.
• Attempt to gain unauthorized access to the Service or user accounts.
• Use automated downloads, third-party app traffic, or ad-blockers that prevent PPD reward calculation.

Accounts violating these rules will be terminated without notice. The maximum file size for uploads is 10 GB.

§9 Third Party Content
UP4LOAD.COM may provide third-party content or links to third-party websites ("Third Party Content") as a convenience. We do not control, endorse, or warrant Third Party Content. You use Third Party Content at your own risk.

§10 Advertisements and Promotions
UP4LOAD.COM may display third-party advertisements or provide links to third-party products. Your dealings with third parties are solely between you and them. UP4LOAD.COM is not liable for any loss or damage from such dealings.

§11 Trademarks
UP4LOAD.COM logos and slogans on the Site are trademarks of UP4LOAD.COM or its licensors and may not be used without prior written permission. The Site's look and feel, including graphics and scripts, is protected by UP4LOAD.COM's trademarks and may not be copied without permission. Other trademarks mentioned on the Site belong to their respective owners.

§12 Disclaimer
UP4LOAD.COM provides the Service and Site on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure operation. UP4LOAD.COM disclaims all warranties, including merchantability, fitness for a purpose, and non-infringement. You acknowledge risks inherent in Internet connectivity and use the Service at your own risk. We may remove Customer Data that is unlawful, compromises server security, uses excessive bandwidth, or as deemed necessary in our sole discretion.

§13 Indemnification
You will defend, indemnify, and hold UP4LOAD.COM and its affiliates harmless from any claims, damages, or expenses arising from:

• Your breach of these Terms.
• Customer Data infringing third-party rights.
• Your conduct related to the Service.

§14 Online Payment
Payments may involve EMP CORP, where transactions create electronic money used to credit an e-wallet. Such transactions are labeled "Online Payment" on bank statements. UP4LOAD.COM will inform you of any changes to this description.

§15 Limitation of Liability
UP4LOAD.COM is not liable for any indirect, incidental, or consequential damages, including loss of profits or revenue, arising from the Service, Site, or Third Party Content. Our total liability will not exceed amounts paid by you to UP4LOAD.COM. This limitation applies regardless of the form of action.

§16 Premium Limitation
Premium users have a daily download bandwidth limit based on their plan, subject to change at our discretion.

§17 Inactive Files
Files without views or downloads for 90 days ("Inactive Files") are automatically removed without notice, regardless of premium status.

§18 Termination
You may stop using the Service at any time. UP4LOAD.COM may terminate your access if you breach these Terms.

§19 Repeat Infringer Policy
Per the Digital Millennium Copyright Act (DMCA), UP4LOAD.COM may terminate accounts of repeat infringers or limit access for users infringing intellectual property rights, at our discretion.

§20 Copyright Complaints
If you believe content on the Service infringes your copyright, file a notification using our DMCA Removal Tool as outlined in our Copyright Policy (https://up4load.com/pages/copyright-policy.html).

§21 Refunds Policy
Premium services are available after registration and can be purchased for various durations. Refunds are considered case-by-case within 24 hours of purchase. No partial refunds or auto-renewals apply; charges are one-time.

§22 Child Abuse and Underage Content
UP4LOAD.COM does not tolerate child pornography or underage sexual content. Upon notification, we will remove such content, block the uploader's account, and report to the National Center for Missing and Exploited Children and Cybertipline at missingkids.com. We may cooperate with law enforcement to identify and prosecute individuals involved in such content.

§23 Miscellaneous
These Terms are governed by the laws of Cyprus. Any legal actions arising from these Terms must be filed in Cyprus courts, and you consent to their exclusive jurisdiction. Neither party is liable for delays due to Force Majeure Events (e.g., acts of God, disruptions, or unlawful acts). This provision survives termination of the Service.
